1. Agreement to Our Legal Terms

Please read these Terms of Use of the NoNarcissAI Services and Platform carefully ("Terms"). The Terms constitute a binding agreement between you ("you", "your", or "user") and Inspirae Corp., a Delaware corporation (interchangeably, "NoNarcissAI", the "Company", "we", "our", or "us"). These Terms govern your access to and use of the NoNarcissAI mobile application (the "App") and related features, services, information, text, graphics, photos or other materials or content uploaded, downloaded or appearing on the App (collectively, the "Services").

By accessing or using the Services, you agree to comply with and to be bound by all of the terms and conditions described in these Terms. If you do not agree to all of these terms and conditions described in these Terms, you must discontinue use immediately.

The terms "you", "your", and "yourself" refer to the individual user of the Services.

The Services are intended solely for individuals who are 18 years of age or older. By using the Services, you represent and warrant that you are at least 18 years of age. If you are under 18, you may not access or use the Services under any circumstances.

We may update or revise these Terms at any time, at our sole discretion. Material changes will be communicated through the email address associated with your account or through in-app notices. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.

2. Account Registration and User Representations

Accessing the Services requires you to register and create a personal user account (referred to as an "Account"). Enrollment involves submitting certain information, as specified in our Privacy Policy. You agree that you will not create more than one Account or register an Account for another person without their prior consent.

By using the Services you represent and warrant:

a. You have provided and will continue to provide true, accurate, current, and complete information about yourself as prompted by our Account registration form;

b. You certify that you are over the age of eighteen (18) and have the legal ability to consent to the Services;

c. You will maintain, and promptly update such Account information, each time you log on, as far as possible to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, not current, or incomplete, or NoNarcissAI has reasonable grounds to suspect that such Account information is untrue, inaccurate, not current, or incomplete, NoNarcissAI reserves the right to take any measures as deemed appropriate, including but not limited to the suspension or termination of the Account;

d. You will remain responsible for maintaining the confidentiality of your Account password and username (if any), and any other security information related to your Account at all times. NoNarcissAI will not be liable for any loss that you incur as a result of someone else accessing and using your Account, either with or without your knowledge;

e. You will not access the Services via automated or non-human means (bots, scripts, scrapers) except as expressly permitted;

f. You will not use the Services for any illegal or unauthorized purpose; and

g. Your use will comply with all applicable laws and regulations.

3. Description of Services

NoNarcissAI is a mobile application designed to support personal reflection and self-awareness, and customized for iOS and Android mobile devices (the "App"). Subject to compliance with these Terms, we grant you a limited, revocable, non-transferable, non-exclusive license to install and use the App on your personal device in order to access the Services.

The Services include:

  • Conversational Agent ("Nini"): A chat-based AI companion that engages in free-form conversations with you.

  • Cases: Structured monologues where you may record or upload text, audio, images, videos, or documents to reflect on specific events or feelings.

  • Personal Metrics: Periodic insights generated from your conversations and cases, designed to help you track patterns across your personal relationships. These insights are intended solely for self-reflection and are not based on psychology or clinical science. They must not be interpreted as medical or therapeutic diagnoses.

  • Community Feed: An optional feature allowing you to share anonymized cases with the broader NoNarcissAI community. Contributions are shared only if you explicitly opt in, and other users can respond solely through predefined reaction options. There is no direct messaging or personal interaction between users.

The Services are made available on a personal, non-commercial basis. You are solely responsible for the information you choose to provide, and you must ensure that you do not share personal data of third parties without their consent.

NoNarcissAI is not intended to and does not provide clinical psychotherapy, counseling, medical advice, diagnosis or medical treatment. Members of NoNarcissAI are not healthcare professionals and are not acting as such, and any communication with the platform does not constitute medical, legal, financial or other licensed professional advice. Any insights or reflections produced within the Services are for personal exploration only.

If the Services provide any information (which includes medical or legal information among others) including recommending tools and techniques (e.g. yoga or activity or exercises), such information is for informational purposes only and should not be construed as professional advice. No action should be taken based upon any information contained in the Services. You should seek independent professional advice from a person who is licensed and/or qualified in the applicable area before any use.

We may use third-party analytics and performance tools to understand and improve feature usage and stability. Details (including vendor names and configurations) are described in our Privacy Policy.

If you download the App, you agree that from time to time, the software may require that you download upgrades, updates, and additional features we publish in order to improve, enhance, and further develop the software, Service, or App.

4. Service Availability; Restricted Regions

The Services are hosted in the United States and intended for use only in jurisdictions where we make them available. We do not offer the Services in the European Union, European Economic Area, the United Kingdom, or Switzerland, or in jurisdictions with data-localization or regulatory requirements we do not support, which may include the Russian Federation and the People's Republic of China. We may update this list at any time. By using the Services, you consent to the transfer and processing of your information in the United States. (See our Privacy Policy for details.)

5. Use of Services

You may use the Services only for personal, non-commercial purposes and in compliance with these Terms. You are responsible for all activity that occurs under your account. By using the Services, you agree that:

  • You will only share information that you own or that you are authorized to disclose.

  • You will not upload or share personal data of third parties without their explicit consent.

  • You will not misrepresent your identity or create accounts under false pretenses.

  • You are solely responsible for the content you generate, upload, or share within the Services.

When you talk to Nini, you should not try to get it to talk about harmful, abusive, or illegal topics. You also should not attempt to evade our security measures or learn about the models, algorithms, prompts, or source code of Nini. If our systems detect this activity, you may be suspended. We reserve the right to suspend or terminate Accounts that violate these obligations.

6. Prohibited Conduct

You may use the Services only for personal, non-commercial purposes and in compliance with these Terms. You are responsible for all activity that occurs under your account. By using the Services, you agree that:

You agree not to engage in the following activities when using the Services:

  • Illegal or harmful content: Uploading or sharing material that is unlawful, abusive, defamatory, obscene, threatening, or otherwise harmful.

  • Privacy violations: Posting, uploading, or transmitting personal information of others without their explicit consent.

  • Exploitation of AI: Attempting to reverse-engineer, manipulate, or misuse the AI models integrated into the Services.

  • Security breaches: Attempting to hack, probe, or disrupt the platform, including through malware, scraping, or automated bots.

  • Commercial misuse: Using the Services to advertise, solicit, or compete with NoNarcissAI.

  • Misrepresentation of outputs: Presenting AI-generated responses as professional advice, clinical guidance, or medical/psychological diagnoses.

  • Malicious behavior: Engaging in fraudulent, deceptive, or disruptive activities that undermine the functioning of the Services or the experience of other users.

  • Any other criminal activity: Posting, uploading or transmitting any other content which may constitute, cause, or encourage a criminal action or violate any applicable law.

Violation of this section may result in immediate termination of your Account, cancellation of any active subscription without refund, and potential reporting to authorities.

7. Intellectual Property Rights

All intellectual property rights in the Services, including the App, underlying software, databases, features, text, images, designs, audio, video, and all trademarks, logos, and service marks of NoNarcissAI (collectively, the "Company Content"), are owned exclusively by or licensed to the Company.

Subject to the Terms of this Agreement, NoNarcissAI hereby grants you a limited, revocable, non-transferable, and non-exclusive license to use the software, content, and documentation on and in the Service to the extent, and only to the extent, necessary to access and use the Service. The Company Content is provided on an "AS IS" basis for your personal, non-commercial use only. Except as explicitly provided herein, nothing in these Terms shall be deemed to create a license in or under any intellectual property rights related to the Company Content, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any Company Content. Use of Company Content for any purpose not expressly permitted by these Terms is strictly prohibited.

We reserve all rights not expressly granted to you in these Terms. Any unauthorized use of the Services or Company Content constitutes a breach of these Terms and may result in immediate termination of your Account.

You may choose to or we may invite you to submit comments or ideas about the Services, including without limitation about how to improve the Services ("Ideas"). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place NoNarcissAI under any fiduciary or other obligation, and that we are free to use the Idea without any additional compensation to you, and/or to disclose the Idea on a non-confidential basis or otherwise to anyone. You further acknowledge that, by acceptance of your submission, NoNarcissAI does not waive any rights to use similar or related ideas previously known to NoNarcissAI, or developed by its employees, or obtained from sources other than you.

8. User Content & Ownership

You do not retain ownership of the content you create and share within the Services, including chats with Nini, cases, uploads of audio, video, or documents, and any contributions to the community feed ("User Content").

By using the Services, you grant NoNarcissAI a limited, non-exclusive, royalty-free, worldwide, revocable license to process, use, modify, publish, edit, translate, distribute, store, display and make derivative works of all such User Content for the sole purpose of operating, maintaining, and improving the Services, and to enable features you choose (e.g., anonymous sharing to the community feed).

You acknowledge that:

  • You are solely responsible for your User Content.

  • You warrant that you have all necessary rights and permissions to share it.

  • You will not upload or share content belonging to third parties without their consent.

Do not include personal data about third parties (names, contact details, identifiable media) without their explicit permission. You acknowledge that you are solely responsible for any personal or sensitive information you share, and you agree not to upload content that violates privacy, publicity, or other rights of any person.

If you choose to share a case anonymously in the community feed, you grant us permission to display it to other users and allow reactions in accordance with the features of the App.

9. Payments and Subscriptions

App Stores

All purchases and subscriptions are processed exclusively through the Apple App Store or Google Play Store ("App Stores"). NoNarcissAI does not directly process or store your payment information. Your transactions are governed by the terms and conditions of the respective App Store.

Free Trial

We may offer a free trial period, available once per user account. At the end of the trial, your account will automatically convert into a paid subscription plan unless canceled before the trial expires.

Subscription Plans

We offer weekly, monthly, and annual subscription options. Subscriptions renew automatically unless canceled through your App Store account settings.

Pricing and Changes

We reserve the right to adjust pricing, subscription formats, or free trial terms at any time. Price changes for active subscribers will take effect in the next billing cycle, with prior notice provided via email.

Cancellations and Refunds

All purchases are final. Subscriptions can only be managed or canceled through the applicable App Store. We do not issue direct refunds. Any refund requests must be submitted to the relevant App Store.

Misuse and Termination

We may terminate or restrict your access to the Services if we determine, in our sole discretion, that you have misused the Services. Such termination may occur without refund.

Taxes & Currency

Prices are shown in local currency where available and may exclude applicable taxes. You are responsible for any taxes assessed on your purchases. We may correct pricing errors even after a transaction is submitted.

10. Access Limits and Fair Use

Non-subscribers may be subject to usage limits (e.g., message caps, feature gating, or throttling). We may pause or restrict access and require enrollment in a free trial or paid plan at any time. Paid subscribers are not subject to routine usage caps; however, we may suspend or terminate access without refund in cases of suspected abuse, malicious activity, or security risk.

11. App Distributor Terms

If you obtained the App from the Apple App Store or Google Play (each, an "App Distributor"): (a) your license to use the App is limited to a non-transferable license on a device that you own or control and as permitted by the App Distributor's terms; (b) the App Distributor has no obligation to provide maintenance or support; (c) in the event of any failure of the App to conform to any applicable warranty, you may notify the App Distributor, and the App Distributor may refund the purchase price (if any) for the App, to the maximum extent permitted by law; (d) you represent that you are not located in a sanctioned country and are not on any U.S. government list of prohibited parties; and (e) the App Distributor and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

12. Software; EULA

If any component of the Services is accompanied by a separate end-user license agreement ("EULA"), that EULA governs your use of such component. If not, your use is licensed under these Terms on a limited, personal, revocable, non-transferable, non-sublicensable basis. Software and related documentation are provided "AS IS" without warranties of any kind.

13. Moderation and Community Management

We reserve the right, but not the obligation, to monitor activity within the Services. At our discretion, we may:

  • Remove or restrict access to any content we consider harmful, unlawful, or in violation of these Terms.

  • Suspend or terminate accounts that engage in misuse.

  • Report illegal activity to appropriate authorities.

  • Take all necessary actions deemed appropriate to prevent misuse or any malicious conduct.

Community feed contributions are shared anonymously, but we still reserve the right to moderate or remove content that breaches our standards.

14. AI-Generated Outputs Disclaimer

The chatbot "Nini" and all automated outputs are generated using artificial intelligence. While designed to provide personal insights and reflections, the AI may produce content that is incomplete, biased, or inaccurate.

  • Outputs are not medical, psychological, legal, or professional advice.

  • "Nini" may make up facts, events, or advice. You should never rely on anything it tells you as the only source of truth without double-checking the facts yourself or, if appropriate, talking to a professional.

  • Do not rely on the Services for decisions involving health, safety, legal, financial, or other professional matters. You are solely responsible for evaluating information provided by the Services and for seeking professional advice where appropriate.

  • NoNarcissAI disclaims all liability for reliance on AI-generated content.

15. Third-Party Technologies and AI Providers

The Services integrate third-party technologies, including artificial intelligence services provided by vendors such as OpenAI, Anthropic, Microsoft Azure AI, and Google Cloud, among others. This list is illustrative and non-exhaustive; we may change or add providers at any time. Your use of the Services is subject to these providers' terms to the extent applicable to end-users of integrated services. (Deeper data-processing details belong in the Privacy Policy.)

There might be third-party links (including a hyperlink, button, or referral device of any kind) used in the Services, provided for your use and convenience. The appearance of a link does not constitute an endorsement, recommendation, or certification by NoNarcissAI, nor should the presence of a link in any way be construed as a suggestion that any third-party website has any relationship to NoNarcissAI. NoNarcissAI does not endorse the content on any third-party websites. NoNarcissAI is not responsible for the content of linked third-party websites or third-party advertisements and does not make any representations regarding its content or accuracy. NoNarcissAI does not knowingly link to websites that may infringe on valid and existing trademarks, service marks, copyrights, or patents. Your use of third-party websites is at your own risk and subject to the terms and conditions of use for such websites.

16. Voice and Audio Features

If you use voice features, your audio may be processed by third-party speech-to-text services and stored by us as part of your Account content. We do not promise automatic deletion of audio after transcription. See our Privacy Policy for processing and retention details.

17. Health & Emergencies

NoNarcissAI is not intended to and does not provide clinical psychotherapy, counseling, medical advice, diagnosis or medical treatment. Do not use the Services for emergencies. If you are experiencing a crisis, a medical or mental health crisis, emotional distress, or may harm yourself or others:

  • Immediately stop using the Services.

  • In the United States, dial 911 for emergencies or 988 for the Suicide & Crisis Lifeline.

  • In Canada, dial 988.

  • If you are elsewhere, contact your local emergency number or nearest hospital.

We encourage all users in distress to seek help from a licensed mental health professional.

18. Risk Detection Policy

Automated or manual measures aimed at detecting imminent risk may trigger temporary blocks or restrictions. These measures are provided on a best-effort basis, do not create an obligation for NoNarcissAI to monitor or intervene in all cases of risk, and do not replace professional care.

If our systems detect language suggesting imminent risk of harm to yourself or others, your access to the Services may be blocked. You will be shown a message strongly recommending that you seek immediate professional help.

19. Electronic Communications; E-Sign Consent

By using the Services, you consent to receive communications from us electronically (e.g., emails, in-app notices). You agree that all terms, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You consent to the use of electronic signatures and records for transactions conducted via the Services.

20. Corrections

The Services may contain typographical errors, inaccuracies, or omissions (including pricing or availability). We reserve the right to correct any errors or omissions and to change or update information at any time without prior notice.

21. Limitation of Liability

The Services are provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by law:

  • NoNarcissAI disclaims all warranties, express or implied.

  • We do not guarantee that the Services will be error-free, secure, or available without interruption.

  • We are not liable for emotional, psychological, or physical harm, nor for damages arising from reliance on AI outputs.

  • In no event shall our liability exceed the total amount you paid to us in the six (6) months preceding the claim.

22. Indemnification

You agree to indemnify and hold harmless NoNarcissAI, any of its subsidiaries, officers, employees, directors, agents, licensors, managers and other affiliated companies, from and against any and all claims, damages, injury, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) resulting from:

  • Your use of and access to the Services.

  • Your violation of any term of these Terms, including without limitation your breach of any of the representations and warranties.

  • Any claim or damages that arise as a result of any of your User Content or any that is submitted via your Account.

  • Violation of third-party rights, including without limitation any intellectual property right or right of privacy.

  • Your violation of any applicable law, rule or regulation.

  • Any other party's access and use of the Services with your unique username, PIN, password or other appropriate security code.

23. Termination

We may suspend or terminate your Account at any time, with or without notice, if we determine you have violated these Terms or engaged in harmful activity.

24. Governing Law, Arbitration and Class Action Waiver

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services will first be subject to informal resolution: both you and NoNarcissAI agree to attempt good-faith negotiations for at least thirty (30) days before pursuing formal action.

If the dispute cannot be resolved informally, it will be finally and exclusively settled by binding arbitration in the State of Delaware under the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration will be conducted in English and administered in accordance with the AAA's rules for consumer-related disputes.

You and NoNarcissAI expressly waive the right to bring or participate in a class action, class arbitration, or any other representative proceeding. Disputes will be resolved solely on an individual basis. If for any reason a claim proceeds in court rather than in arbitration, you and NoNarcissAI waive any right to jury trial. By accepting these Terms, you understand that you are giving up the right to a jury trial or to participate in class-wide proceedings.

If this arbitration provision is found to be null and void, then all disputes arising under the Terms between us will be subject to the jurisdiction of the state and federal courts located in Delaware, and you and we hereby submit to the personal jurisdiction and venue of these courts. You and NoNarcissAI agree that if for any reason a dispute proceeds in court rather than arbitration: (1) you and NoNarcissAI waive any right to a jury trial; (2) the dispute will proceed solely on an individual, non-class, non-representative basis; and (3) neither you nor NoNarcissAI may be a class representative or class member or otherwise participate in any class, representative, consolidated, or private attorney general proceeding.

This agreement to arbitrate will not preclude you or NoNarcissAI from seeking provisional remedies in aid of arbitration, including without limitation orders to stay a court action, compel arbitration or confirm an arbitral award, from a court of competent jurisdiction. Furthermore, this agreement to arbitrate will not preclude you or NoNarcissAI from (i) applying to the appropriate court of competent jurisdiction for a temporary restraining order, preliminary injunction, or other interim or conservatory relief, as necessary, or (ii) seeking relief in any state or federal court for disputes related to a violation or possible violation of NoNarcissAI's intellectual property rights.

25. Modifications and Interruptions

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without liability. While we strive for continuous availability, we do not guarantee uninterrupted access.

26. Miscellaneous

  • These Terms constitute the entire agreement between you and NoNarcissAI.

  • If any provision is found unenforceable, the remainder shall remain valid.

  • Our failure to enforce a right does not constitute a waiver.

  • We are not liable for delays or failures caused by events beyond our reasonable control.

  • These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by NoNarcissAI without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

  • For dispute resolution and the class action waiver, see Section 24.

27. Copyright Complaints

We respect intellectual property rights. If you believe content available through the Services infringes your copyright, please send a notice to data@nonarciss.ai with: (a) your contact details; (b) identification of the copyrighted work; (c) identification of the infringing material and its location; (d) a statement of good-faith belief; (e) a statement under penalty of perjury that your notice is accurate and you are authorized to act; and (f) your physical or electronic signature. We may notify the user who posted the material and, where appropriate, remove or disable access to the content.
